Welcome to Billing Plus! These Terms of Use (“Terms”) govern your use of the Billing Plus invoicing and receipt app (“App”), provided to you by Carburant Technologies Limited. (“Billing Plus,” “we,” “us,” or “our”). By accessing or using the App, you agree to be bound by these Terms, so please read them carefully. If you do not agree to these Terms, do not use the App.

Acceptance of Terms

By using the App, you affirm that you are at least 18 years old or have the legal capacity to enter into this agreement. If you are using the App on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Changes to the Terms

We may update these Terms from time to time, and any changes will be effective upon posting the revised Terms on the App. Your continued use of the App after such changes will constitute your acceptance of the new Terms.

Use of the App

(a) Account Registration: To access certain features of the App, you may be required to create an account. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. You agree to provide accurate and complete information during the registration process and to update such information to keep it current.

(b) Prohibited Activities: While using the App, you agree not to:

• Violate any applicable laws or regulations.
• Use the App for any fraudulent, malicious, or unlawful purposes.
• Impersonate any person or entity or falsely claim an affiliation with any person or entity.
• Upload, transmit, or distribute any content that is harmful, offensive, obscene, or infringing upon any third-party rights.
• Attempt to gain unauthorized access to the App or any associated systems or networks.
• Interfere with or disrupt the App’s functionality or networks connected to the App.

Billing Plus Subscription

(a) Subscription Plans: Billing Plus offers various subscription plans with different features and pricing. By subscribing to a plan, you agree to pay the applicable subscription fees and abide by the terms and conditions of the chosen plan.

(b) Billing and Payment: Payment for your subscription will be charged to your chosen payment method at the beginning of your subscription and automatically renewed at the end of each billing cycle unless canceled. You are responsible for keeping your payment information up to date. All payments are non-refundable.

Privacy Policy

Your use of the App is also governed by our Privacy Policy, which outlines how we collect, use, and disclose your personal information. You can review our Privacy Policy here.

Termination

Billing Plus reserves the right to suspend or terminate your access to the App at any time, with or without cause, and with or without notice. Upon termination, your right to use the App will cease immediately.

Intellectual Property

(a) Ownership: Billing Plus retains all rights, title, and interest in and to the App, including all content, graphics, logos, and trademarks. You may not use our intellectual property without our express written consent.

(b) User Content: By submitting content to the App, you grant Billing Plus a non-exclusive, worldwide, royalty-free license to use, modify, reproduce, and distribute such content.

Disclaimer of Warranties

The App is provided “as is” and “as available” without warranties of any kind, whether express or implied. Billing Plus disclaims all warranties, including but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

Billing Plus shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising out of your use of the App.

Governing Law

These Terms shall be governed and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms & Conditions constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.

Dispute Resolution

Any disputes arising under or in connection with the validity, interpretation and performance of this Terms between Carburant Technologies Limited and any third parties that cannot be resolved amicably by the parties through negotiation within 30 (thirty) days shall be resolved by Arbitration at the Lagos Court of Arbitration (LCA) before a single arbitrator in accordance with the Arbitration and Conciliation Act, Cap A18, Laws of the Federation of Nigeria.

The Parties shall endeavour in good faith to mutually agree on the selection of an arbitrator. If the Parties cannot mutually agree on the selection of an arbitrator within ten (10) days of the request, they shall apply to the LCA to appoint an arbitrator. Arbitration proceedings shall be conducted in Lagos. The arbitrator will be requested to render an award within ninety (90) days and to provide, in writing the reasoning for the award. The decision of any such arbitrator shall be final and binding on the parties. Each party shall bear its cost in connection with the Arbitration and the arbitrator’s fees shall be split equally between both parties.

Any Feedback you submit to us will be considered non-confidential and non-proprietary to you. By submitting Feedback to us, you grant us a non-exclusive, worldwide, royalty-free, irrevocable, sub-licensable, perpetual license to use and publish those ideas and materials for any purpose, without compensation to you.

Changes to Terms & Conditions

Billing Plus reserves the right, in its sole discretion, to change the Terms of Service. Billing Plus encourages you to periodically review the Terms to stay informed of our updates.
